Public Offer Agreement

1. General provisions
1.1. This document is a public offer (the “Offer”) of Individual Entrepreneur Ruslan Vasilyevich Matveev, a sole proprietor registered in the Russian Federation (TIN 450125437046, OGRNIP 324450000018734) (the “Contractor”), and contains all the essential terms of providing services.
1.2. Under Article 437 of the Civil Code of the Russian Federation, this document is a public offer. By accepting the terms set out below, an individual or legal entity (the “Client”) accepts this Offer.
1.3. The Offer is accepted by paying for the Contractor’s services, submitting a request through the form on rusmatveev.com, or otherwise expressing agreement with the terms of the Offer.
2. Subject of the agreement
2.1. The Contractor undertakes to provide the Client with consulting services in marketing, AI automation and related fields, and the Client undertakes to pay for these services in the manner and on the terms set out in this Offer.
2.2. The specific list, scope and cost of services are agreed individually and recorded in a supplementary agreement, invoice, correspondence or other document confirming the parties’ arrangement.
3. Rights and obligations of the parties
3.1. The Contractor undertakes to:
- Provide services of proper quality within the agreed timeframe
- Keep information received from the Client confidential
- Keep the Client informed about the progress of the work
3.2. The Client undertakes to:
- Provide the information and materials needed to deliver the services
- Pay for the Contractor’s services on time
- Accept the result of the services or send a reasoned refusal
4. Cost and payment
4.1. The cost of services is determined individually and stated in an invoice or supplementary agreement.
4.2. Payment is made by bank transfer to the Contractor’s account.
4.3. Services are deemed duly provided if, within 5 (five) business days of being notified of completion, the Client has not sent reasoned objections.
5. Liability of the parties
5.1. The parties are liable for non-performance or improper performance of their obligations in accordance with the laws of the Russian Federation.
5.2. The Contractor is not liable for results that depend on the actions of third parties, market conditions or other circumstances beyond the Contractor’s control.
6. Dispute resolution
6.1. All disputes and disagreements are resolved through negotiation. If no agreement is reached, the dispute is referred to the court at the Contractor’s location.
7. Term and changes to the terms
7.1. The Offer takes effect from the moment it is published on rusmatveev.com and remains in force until withdrawn by the Contractor.
7.2. The Contractor reserves the right to amend the terms of the Offer. The current version is available at rusmatveev.com/en/offer.
